Fonebook Publishing Corporation (Fonebook) is a privately held Canadian company which provides Branding and Communication services through print, web and digital/video mediums. The following terms and conditions govern the business practice of both the Fonebook Guide and www.fonebook.ca. Please read our terms and conditions carefully. By purchasing advertising space or using our web and print services, you agree to our terms of use, without limitation and restrictions, and are bound to these terms. Fonebook reserves the right, at our sole discretion, to modify these terms at any time. If you do not agree with these terms of use, please do not use the Fonebook Guide and/or www.fonebook.ca.

Copyright
Fonebook is protected by the copyright laws of Canada. Any reproduction of the Fonebook Guide and the content on www.fonebook.ca is strictly prohibited unless written permission is granted by Fonebook Publishing Corporation. Specific content such as demo reels, images, PDF files, logos and trademarks are subject to the copyright of their respective owners. All rights are reserved. Any unauthorized distribution, transmission or publication is strictly prohibited.

Disclaimer of warranties
Fonebook will exercise best efforts to maintain the information by on www.fonebook.ca up to date. It is the Advertiser’s sole responsibility to ensure that their listing and advertisement content is accurate. The content in the Fonebook Guide and on www.fonebook.ca is provided on an "as is" and "as available" basis without warranties of any kind, either expressed or implied, and makes no warranty regarding the operation of the website or any information or other content on both the website and/or guide, or any services or products provided through or in connection with Fonebook. You expressly agree that use of the Fonebook Guide and www.fonebook.ca is at your sole discretion. Fonebook expressly disclaims any and all warranties, products or services which are part of the website and guide, the implied warranties or merchantability, fitness for a particular purpose, or non-infringement of intellectual property.

Limitations and liabilities
Fonebook, it’s employees, officers, consultants and agents, under no circumstance, will be held liable to you or any third party for any incidental, direct, indirect, special or consequential damage or any loss that results from your use of, or inability to use any of Fonebook’s printed and web resources, services and products.

Payment information
Payments should be made payable to Fonebook Publishing Corporation. The person entering into agreement with Fonebook understands that they can be held personally liable for the full amount that is signed and/or agreed upon. Fonebook reserves the right to require partial or full payment in advance, as per the terms on the Advertising Space Agreement. If payment of an amount due on your account is not received by us by the required payment date specified by us, it will be considered a delinquent amount and will be subject to a late payment charge of 5% per month (30 days). You agree that we can charge any unpaid and outstanding amount, including any late payment charges, on your account to your credit card, bank account or any other payment method pre-authorized by you for payment of our charges. Fonebook reserves the right to remove an ad or listing from the Fonebook Guide and/or www.fonebook.ca on delinquent accounts. You agree to accept any legal expenses that Fonebook may incur, that can be applied for compensation on delinquent accounts.

Content
Fonebook reserves the right to review all content submitted and to deny disallow any type of advertisement or listing, in both print and/or web, at its sole discretion. With respect to content that you upload, post, transmit, distribute or otherwise disseminate or make available on or through the Fonebook Guide and or www.fonebook.ca (your "Contributions"), you irrevocably grant us the world-wide, perpetual, royalty-free, non-exclusive, sub-licensable and transferable right and license (without obligation) to use, distribute, reproduce, encode, modify, adapt, edit, display, exhibit, publish, translate, publicly perform, communicate, publicly display your Contributions and to incorporate them into other derivative works or compilations, in any format and through any media channel, whether now known or hereafter invented, including, without limitation, by way of the Fonebook Guide and www.fonebook.ca. Subject to the rights expressly granted to us, you retain ownership of the copyright in your Contributions. A yearly paid Gold Interactive Listing entitles the Advertiser to promote their products and services in a given category, as per Fonebook’s approved list of categories. An Advertiser is entitled to one free upload per year. Additional uploads may be requested at an additional cost. Additional Gold Interactive Listings can be purchased to promote an Advertiser in other categories. Fonebook cannot and will not be held responsible for errors and/or omissions in the final printed Fonebook Guide. The Advertiser cannot hold back or delay the production of the Fonebook Guide. Fonebook offers one free listing on www.fonebook.ca, in a given category, per year. Additional listings are available in other categories for a fee. Free listings may be available in the Fonebook Guide, subject to availability. Fonebook does not guarantee a listing in the Fonebook Guide. Fonebook reserves the right to:

1. Disallow content that does not meet Fonebook’s print and web specifications.

2. Reject an advertisement, or post a previous year’s advertisement, if an Advertiser fails to provide content by the specified due date.

3. Bill the Advertiser, according to the advertising space agreement, if the Advertiser fails to deliver all content by the date agreed upon.

Prohibited content
You agree not to upload, post, transmit, distribute or otherwise disseminate or make available on or through the Fonebook Guide and/or www.fonebook.ca any content that:

1. Is copyrighted, protected by trade secret or otherwise subject to third party proprietary or contractual rights, including privacy and personality/publicity rights, unless you are the owner of such rights or have written permission from the rightful owner to post the content and to grant us all of the rights granted herein;

2. Is obscene, profane, defamatory, libelous, slanderous, fraudulent, deceptive, threatening, intimidating, pornographic and/or sexual, harassing, abusive, hateful, racially or ethnically offensive, encourages or assists conduct that would constitute a criminal offence, could result in civil liability, or is otherwise objectionable, offensive, inappropriate or unlawful;

3. Implies or suggests endorsement by Fonebook;

4. Contains viruses, corrupted files, or any other similar software or programs that may damage the operation of our computer systems or those of any user;

5. Otherwise violates these terms or any applicable municipal, provincial, federal or international law, order or regulation.

Thirth party content
You represent and warrant that you own or have secured all necessary licenses, rights, consents and permissions to use, and to authorize Fonebook to use, any trade-marks, copyrighted material or other intellectual property and/or proprietary material contained in your Contributions, and that you have the written consent, release and/or permission of every identifiable individual person appearing or referenced in your Contributions to use his/her name and/or likeness.

Termination
Fonebook reserves the right to terminate an agreement, in both the Fonebook Guide and on the www.fonebook.ca website, if an Advertiser does not provide artwork, listing information, logos, demo reels, JPGs and PDF files, or any other content requested, by the mutually agreed upon date of delivery. Fonebook has the right to remove free listings in both the Fonebook Guide and on the www.fonebook.ca website, anytime, at its sole discretion. Fonebook has the right to remove Gold Interactive Listings and paid advertisements, after the expiry date of an agreement. An Advertiser’s digital files may not be stored and/or saved after an agreement has expired. It is the Advertiser’s responsibility to renew their paid Gold Interactive Listing or paid advertisement agreements in order to ensure service is not interrupted.
